Description
[Position Summary]
The Associate, Corporate Secretarial is responsible for corporate governance and statutory compliance of Vena Energy entities in Korea, ensuring project SPCs operate in accordance with their Articles of Incorporation and Shareholders' Agreements.
[Key Responsibility]
• Oversee corporate governance for Vena Energy entities in Korea, including maintenance of statutory corporate registers, the Articles of Incorporation, and local group structure, and management of the corporate registration process for changes in directors, shares, or registered office
• Ensure project SPCs are operated in accordance with their Articles of Incorporation and Shareholders' Agreements, including board/shareholder approval procedures, director appointment rights, and other governance requirements
• Manage the signing and document process, including corporate chop stamping and DocuSign coordination, and drafting/maintenance of corporate documents such as board and shareholder meeting minutes and the shareholder registry
• Support corporate transactions, including capital injection/intercompany loan execution and incorporation or dissolution of local project companies
• Coordinate with external service providers (law firms, judicial agencies, notaries) and internal teams, including the HQ Cosec team and Finance, on KYC and other cross-functional matters
• Provide administrative support to the legal team, including postal/notification services, e-billing, and document management
[Qualifications]
• B.A. in business administration, management, law, or other relevant field
• 3 years of experience in legal or corporate secretarial work
• In-depth knowledge of corporate governance regulations and practices
• Strong legal research, analytical, and problem-solving skills
• Strong written and presentation skills using MS Office (Word, Excel, PowerPoint)
• Team player with excellent communication and interpersonal skills
• Proficiency in both Korean and English
